Reporting to CFO/SVP, the In-House Counsel will supervise the legal affairs and contracts department and provide legal advice and counsel to project teams in furtherance of the Company’s business (or the Company’s affiliates that are managed by the Company), including transactional and operational matters, and will work with field personnel to manage legal issues. This is a great opportunity for an attorney with a significant experience in the construction industry (engineering, architecture, and other related heavy industry experience is also beneficial).

 

RESPONSIBILITIES

  • Drafting negotiating contract terms with owners, subcontractors including joint venture agreements, design teaming agreements for design/build projects, subcontract agreements, supply agreements, purchase orders, service agreements providing guidance to existing contract managers
  • Assist with the review of project contract documents issued by public authorities, identify and analyze legal risks related to these projects and report on legal risks in order to mitigate risks involved in potential transactions
  • Provide advice and guidance to field personnel to assist in the resolution of legal issues related to the operation of production sites, equipment and plants
  • Provide counsel on the regulations governing all stages of production working to ensure adherence to applicable local, state and federal laws
  • Provide counsel to operational team on contracts management (change orders, claims, construction defects) and pre-litigation process
  • Representation of Company in litigation and transactional matters arising from day-to-day operations
  • Provide counseling on risk management/insurance issues
  • Provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel as necessary
  • Assist with preparing contract guides for project teams, summarizing key components of project contracts for use by non-legal operational staff
  • Update company contract templates
  • Train and educate internal teams
  • Review, train, and monitor implementation and compliance of company policies and programs involving but not limited to Ethics, Personnel Policies including EEO, harassment, discrimination, False Claims and Antitrust and environmental compliance
  • Assume the position of secretary to the board of directors of the Company

 

QUALIFICATIONS

 

  • Juris Doctorate Degree from a recognized law school required
  • Minimum of 5 years of relevant post-bar professional experience required
  • In-house corporate experience preferred
  • Admitted to practice in the one or more of the following states VA/FL/GA/NC
  • Prior work experience within non-residential construction industry strongly preferred. Experience in related industries such as mining and oil and gas will also be considered
  • Experience in the areas of litigation
  • Experience on large scale design/build transactions is beneficial but not necessary
  • Communication and drafting skills – oral, written, presentation
